These Terms & Conditions (the “Terms”) govern your use of https://allukallc.com (the “Website”) and your purchase of services from Alluka LLC (“Alluka,” “we,” “us,” or “our”), a New Mexico limited liability company located at 8206 Louisiana Blvd NE, Albuquerque, New Mexico 87113, USA. Please read them carefully. By using the Website or placing an order, you agree to these Terms.
In short: Use the Website lawfully. When you buy a service package, you pay our fees as stated at checkout or in your agreement, and you pay advertising platforms directly for ad spend. Monthly retainers renew automatically until cancelled with 30 days’ notice. You own your ad accounts and, once paid, receive rights to use your deliverables. We work hard for strong results, but we cannot guarantee specific outcomes. New Mexico law governs these Terms.
1. Acceptance of These Terms
By accessing the Website, creating an account, submitting a form, or purchasing a service package, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Refund & Cancellation Policy, which are incorporated by reference. If you are accepting these Terms on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” refers to that organization. If you do not agree, do not use the Website or purchase our services.
2. Our Services
Alluka provides growth marketing and paid media services, which may include social media marketing, pay-per-click (PPC) advertising, paid social advertising, growth marketing strategy, conversion rate optimization, analytics and tracking setup, audits, and AI-enhanced marketing solutions. Descriptions of our offerings are available on our services page and our service packages page.
The specific scope, deliverables, timeline, and fees for each engagement are set out in the product description at the time of purchase, an order confirmation, a proposal, a statement of work, or a separate written services agreement (each, an “Agreement”). If an Agreement conflicts with these Terms, the Agreement controls for that engagement, unless it expressly states otherwise.
3. Eligibility and Accounts
Our services are offered to businesses and to individuals acting in a professional capacity. You must be at least 18 years old and able to form a binding contract to use the Website or buy services. If you create an account, you agree to provide accurate information, keep your login credentials confidential, and notify us promptly of any unauthorized use. You are responsible for activity that occurs under your account.
4. Acceptable Use of the Website
You may use the Website only for lawful purposes and in accordance with these Terms. You agree not to:
- violate any applicable law or regulation, or infringe the rights of others;
- submit false, misleading, or fraudulent information, including in our forms or at checkout;
- attempt to gain unauthorized access to the Website, its servers, or any accounts, or interfere with its security features;
- introduce viruses, malware, or other harmful code, or carry out denial-of-service or similar attacks;
- scrape, crawl, or harvest content or data from the Website by automated means without our written permission, except for standard search engine indexing;
- send spam or unsolicited communications through our forms; or
- copy, reproduce, or republish Website content except as permitted in Section 13.
We may restrict or block access to the Website for anyone who violates these rules. Our security tools may automatically block traffic that appears malicious.
5. Ordering Service Packages
Our online store lets you purchase service packages, some billed once and some billed monthly as retainers. All services are delivered virtually; no physical goods are shipped.
- Placing an order. When you submit an order, you make an offer to purchase the selected package under these Terms. An automated confirmation email acknowledges that we received your order; it is not acceptance.
- Acceptance. A contract is formed when we confirm acceptance, start onboarding, or begin work, whichever occurs first. We may decline or cancel any order, for example if a package is not a good fit for your business, if we suspect fraud, or if pricing contained an error. If we cancel an accepted order before work begins, we will refund any amount you paid.
- Onboarding. After purchase, we will contact you to schedule a kickoff and request the access, materials, and information needed to begin. Timelines start once we receive what we need from you.
- Eligibility of your business. We may decline to promote products or services that are illegal, that violate advertising platform policies, or that we reasonably consider harmful or inconsistent with our values.
6. Pricing, Taxes and Payment
- Prices. Prices are listed in US dollars and are shown on the Website or in your Agreement. We may change prices at any time, but changes will not affect orders already accepted or a retainer’s current billing period. For retainers, we will give you at least 30 days’ notice of any price increase.
- Taxes. Prices exclude applicable sales, use, gross receipts, or similar taxes unless stated otherwise. You are responsible for any taxes that apply to your purchase, other than taxes on our income.
- Payment methods. Payments are processed by third-party payment gateways, such as Stripe or PayPal, under their own terms. We do not store full card numbers. You authorize us and our payment processor to charge the payment method you provide for all fees due.
- Payment terms. Unless your Agreement states otherwise, one-time packages are paid in full at checkout, and retainers are paid in advance for each billing period. Invoiced amounts are due within the period stated on the invoice.
- Late or failed payments. If a payment fails or is overdue, we may suspend services, including pausing campaign management, until the balance is paid. Overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, and you agree to pay reasonable costs of collection.
- Non-refundable fees. Payments are non-refundable once services have commenced, unless otherwise stated in our Refund & Cancellation Policy or your Agreement.
7. Monthly Retainers and Subscriptions
Some packages are sold as monthly retainers. By purchasing a retainer, you agree that:
- the retainer renews automatically each billing period, and your payment method will be charged the then-current fee at the start of each period, until you cancel;
- you may cancel by giving at least 30 days’ written notice to [email protected] or through your account, where available; services and billing continue through the end of the notice period;
- fees for any billing period that has already started are non-refundable, and we will not charge you for billing periods that begin after the cancellation takes effect;
- if your package or Agreement includes a minimum commitment term, cancellation takes effect no earlier than the end of that term; and
- we may cancel a retainer on 30 days’ written notice for any reason, or sooner as described in Section 19.
Changes to scope, such as adding platforms or increasing management levels, may change the monthly fee. We will confirm any change in writing before it takes effect.
8. Advertising Spend and Third-Party Costs
Our fees cover our services only. Unless your Agreement expressly states otherwise:
- Ad spend is paid directly by you to the advertising platforms (for example, Google, Meta, TikTok, or LinkedIn) using your own billing method on your own ad accounts. Ad spend is not included in our fees and is not collected or held by Alluka.
- You are solely responsible for paying all platform invoices and charges, including any charges incurred before cancellation of our services. You set and approve the budgets we work within.
- Third-party tools, software subscriptions, stock media, fonts, or other assets needed for your campaigns are your responsibility, unless included in your package.
- Because ad spend is paid to the platforms, Alluka cannot refund it. Any request for credits or refunds of ad spend must be made to the platform under its own policies.
9. Client Responsibilities
Our ability to deliver results depends on your cooperation. You agree to:
- provide timely access to your ad accounts, analytics, website, and other systems we need, and keep that access active during the engagement;
- supply accurate information about your business, offers, pricing, and target customers, and promptly review and approve materials, typically within five business days;
- ensure that your products, services, landing pages, and claims are lawful, truthful, and substantiated, and comply with advertising platform policies and applicable laws, including consumer protection, privacy, and industry-specific rules;
- ensure that you have all rights, licenses, and consents needed for the materials and data you provide to us, including any customer lists used for advertising audiences, and that your website displays an appropriate privacy policy and cookie consent mechanism;
- designate a point of contact with authority to make decisions; and
- pay all fees and ad spend on time.
Delays or failures on your part may affect timelines and results. We are not responsible for delays caused by missing access, late approvals, or inaccurate information.
10. Account Ownership and Access
You own your advertising accounts, business manager accounts, analytics properties, pixels, tag manager containers, and the data in them. We will manage campaigns in accounts owned by you, with access granted to us through user permissions or partner access. If we create a new account on your behalf, we will set it up in your name, or transfer ownership to you, so that it remains yours.
When the engagement ends, you may remove our access at any time, and we will cooperate in an orderly handover. We will not delete your campaigns, audiences, or data unless you ask us to. Our internal tools, templates, and reporting dashboards that are not part of your deliverables remain ours.
11. Third-Party Platforms and Policies
Our services rely on platforms operated by third parties, such as Google, Meta, TikTok, and LinkedIn. These platforms control their own policies, algorithms, auction dynamics, ad review, pricing, reporting, and account enforcement, and they can change them at any time. We are not responsible for platform decisions, including ad disapprovals, account restrictions or suspensions, reporting discrepancies, outages, or changes to features. We will follow platform policies as they apply to the work we perform and help you respond to platform issues where we can.
12. Confidentiality
Each party may receive non-public information from the other, such as business plans, performance data, pricing, customer information, methods, and know-how (“Confidential Information”). Each party agrees to use the other’s Confidential Information only to perform or receive the services, to protect it with at least reasonable care, and not to disclose it except to employees, contractors, and advisers who need to know it and are bound by similar obligations. These obligations do not apply to information that is or becomes public through no fault of the receiving party, was already known to it, is independently developed, or is lawfully received from a third party. A party may disclose Confidential Information if required by law, after giving reasonable notice where legally permitted. These obligations continue for three years after the engagement ends, and indefinitely for trade secrets and personal information.
We will not publicly identify you as a client, or publish your results as a case study, without your prior written permission.
13. Intellectual Property and Deliverables
13.1 Website content
The Website and its content, including text, graphics, logos, design, and software, are owned by Alluka or its licensors and are protected by copyright, trademark, and other laws. You may view and print Website content for your own informational, non-commercial use. Any other use requires our prior written consent. “Alluka” and our logos are our trademarks; other names and logos on the Website belong to their respective owners.
13.2 Your materials
You keep all rights in the logos, content, product information, data, and other materials you provide (“Client Materials”). You grant us a non-exclusive, royalty-free license to use, copy, modify, and display Client Materials only as needed to perform the services.
13.3 Deliverables
Upon full payment of the fees for the relevant services, we grant you a perpetual, worldwide, non-exclusive license (or, where your Agreement specifies, assign to you ownership) to use the final deliverables created specifically for you, such as ad copy, creative, campaign structures, audits, and reports, for your business purposes. Until payment is received in full, deliverables are licensed to you only for use during the engagement.
13.4 Alluka materials
We retain all rights in our pre-existing and generally applicable materials, including our methods, frameworks, templates, playbooks, scripts, software, and know-how (“Alluka Materials”), even if they are incorporated into deliverables. To the extent Alluka Materials are included in your deliverables, you receive a non-exclusive license to use them as part of those deliverables. Third-party materials, such as stock images or fonts, are subject to their own license terms.
14. AI-Enhanced Tools
We may use artificial intelligence tools, including platform-native automation and generative tools, to support research, bidding, creative development, and analysis. Outputs are reviewed by our team before use in your campaigns. We will not input your Confidential Information into AI tools that use that information to train models available to others. AI-assisted outputs may not be eligible for copyright protection in all cases, and you are responsible for final approval of materials before they go live.
15. No Guarantee of Results
Marketing performance depends on many factors outside our control, including your offer, pricing, website, sales process, budget, competition, seasonality, economic conditions, and platform changes. We will perform the services with reasonable skill and care, but we do not guarantee any specific results, such as rankings, traffic, leads, sales, return on ad spend, or cost per acquisition. Forecasts, benchmarks, and projections are estimates only. See our Disclaimer for more information.
16. Disclaimer of Warranties
We warrant that we will perform the services in a professional and workmanlike manner consistent with generally accepted industry standards. Except for that warranty, and to the fullest extent permitted by law, the Website and services are provided “as is” and “as available,” and we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Website will be uninterrupted, error-free, or free of harmful components. If the services do not meet the warranty above, you must notify us in writing within 30 days of the relevant work, and your remedy is for us to re-perform the non-conforming work or, if we cannot reasonably do so, to refund the fees paid for it.
17. Limitation of Liability
To the fullest extent permitted by law:
- neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities, even if advised of their possibility; and
- Alluka’s total liability arising out of or relating to the Website, the services, or these Terms will not exceed the fees you paid to Alluka for the services giving rise to the claim during the three months before the event giving rise to liability.
Alluka is not liable for ad spend, platform charges, or losses caused by third-party platforms, account suspensions, your materials, or your failure to meet your responsibilities. These limitations do not apply to your payment obligations, a party’s indemnification obligations, or liability that cannot be limited under applicable law. Some jurisdictions do not allow certain limitations, so some of them may not apply to you.
18. Indemnification
You agree to defend, indemnify, and hold harmless Alluka and its members, employees, and contractors from any third-party claims, losses, damages, fines, and expenses (including reasonable attorneys’ fees) arising out of: (a) your products, services, offers, or advertising claims; (b) Client Materials or data you provide, including any claim that they infringe a third party’s rights or were collected without proper consent; (c) your violation of law or platform policies; or (d) your breach of these Terms. Alluka agrees to defend and indemnify you from third-party claims that deliverables created by Alluka (excluding Client Materials and third-party materials) infringe a US copyright. The indemnified party must give prompt notice of the claim, allow the indemnifying party to control the defense, and provide reasonable cooperation.
19. Term, Suspension and Termination
- Term. These Terms apply while you use the Website or receive our services. One-time engagements end when the deliverables are completed. Retainers continue until cancelled as described in Section 7.
- Termination for convenience. Either party may terminate a monthly retainer by giving 30 days’ written notice.
- Termination for cause. Either party may terminate an engagement immediately by written notice if the other party materially breaches these Terms or the Agreement and fails to cure the breach within 10 days of notice, or if the other party becomes insolvent.
- Suspension. We may suspend services immediately if payment is overdue, if you ask us to run advertising that we reasonably believe is unlawful or violates platform policies, or if continuing would expose us to legal risk.
- Effect of termination. On termination, you must pay all fees for services performed and billing periods started through the effective date. We will deliver completed work that has been paid for and cooperate in transferring account access. Sections that by their nature should survive, including those on payment, confidentiality, intellectual property, warranties, limitation of liability, indemnification, and dispute resolution, survive termination.
We may also suspend or terminate your access to the Website at any time if you violate these Terms.
20. Refunds and Cancellations
Refunds and cancellations are governed by our Refund & Cancellation Policy, which forms part of these Terms. Before initiating a chargeback, please contact us so we can try to resolve the issue directly.
21. Dispute Resolution
If a dispute arises out of or relates to these Terms, the Website, or our services, the parties agree first to try to resolve it informally. The party raising the dispute must send a written notice describing it to the other party, and both parties will negotiate in good faith for at least 30 days. If the dispute is not resolved within that time, either party may bring a claim in the courts described in Section 22. Either party may seek immediate injunctive relief to protect its intellectual property or Confidential Information, and either party may bring an individual claim in small claims court where it qualifies.
To the extent permitted by law, any claim must be brought within one year after the cause of action arises, and claims must be brought on an individual basis, not as a plaintiff or class member in any purported class or representative proceeding.
22. Governing Law and Venue
These Terms and any dispute arising out of or relating to them are governed by the laws of the State of New Mexico, USA, without regard to its conflict of laws rules. The parties consent to the exclusive jurisdiction and venue of the state courts located in Bernalillo County, New Mexico, and, where federal jurisdiction exists, the federal courts serving that county. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
23. General Provisions
- Entire agreement. These Terms, together with any Agreement and the policies referenced here, are the entire agreement between you and Alluka about their subject matter.
- Independent contractors. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, such as natural disasters, internet or platform outages, cyberattacks, or government action, other than payment obligations.
- Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of our business.
- Severability and waiver. If any provision is found unenforceable, the rest remain in effect. Failure to enforce a provision is not a waiver.
- Notices and electronic communications. We may send notices to the email address associated with your order or account. Notices to us must be sent to [email protected]. You agree that electronic communications and records satisfy any requirement that they be in writing.
24. Changes to These Terms
We may modify these Terms at any time by posting the updated version on the Website and revising the “Last updated” date. Changes apply to Website use from the date posted. For active retainers, material changes take effect at the start of the next billing period following at least 30 days’ notice, unless you cancel before then. Changes do not affect orders already accepted for one-time services. Your continued use of the Website or services after changes take effect means you accept them.
